Welcome to Middleton ADR. By accessing or using our website or booking mediation services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

1. Who We Are

Middleton ADR provides remote mediation services for commercial, shareholder, and partnership disputes. Our services are led by Sean Middleton — a dual-qualified barrister (England & Northern Ireland), South African advocate, and certified mediator (IMI & NYC §146).

2. Scope of Services

Middleton ADR offers:

  • Private and confidential online mediation sessions
  • Structured pre-mediation processes
  • Summary reports or memoranda of understanding (MOU)

Our services are strictly limited to mediation and do not include legal representation, litigation, or any form of legal reserved activity in the United States or elsewhere.

3. No Attorney-Client Relationship

Using our services does not create an attorney-client relationship. Middleton ADR acts strictly as a neutral third-party mediator. We do not provide legal advice or act on behalf of any party.

4. Confidentiality

All mediation sessions and related communications are private and confidential. Middleton ADR will not disclose information without your express written consent, except as required by law or ethical obligations.

5 Fees and Payment

Fees are charged on a fixed-fee basis as published on our website or in a written proposal. Payment is required prior to the mediation session unless otherwise agreed. Stripe is used for secure processing of online payments.

VAT may be included where applicable. Clients are responsible for confirming their own local tax treatment of fees paid.

6. Cancellation and Refunds

You may cancel a scheduled session with 48 hours’ notice for a full refund. Cancellations made with less than 48 hours’ notice may be non-refundable, at our discretion. Refunds are not available after the session has occurred.

7. Service Availability

Mediation services are delivered remotely via secure video conferencing. We do not guarantee availability for all jurisdictions, and reserve the right to decline matters where conflict of interest or ethical restrictions apply.

8. Limitation of Liability

To the fullest extent permitted by law, Middleton ADR disclaims all liability for any loss or damages arising from use of this website or our services. Mediation outcomes are not guaranteed.

9. Intellectual Property

These Terms are governed by the laws of the England & Wales without regard to conflict of law principles. Any disputes arising out of these Terms shall be resolved through private mediation or arbitration.
